These Terms and Conditions (“Terms”) govern your access to and use of the services provided by NEXDENT (“we,” “our,” or “us”), a dental training facility located in Business Bay, Dubai, United Arab Emirates. By accessing our website (www.nexdent.co), registering for our waitlist, enrolling in courses, or using our services, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree to these Terms, you must not use our services.
1. DEFINITIONS
- “Services” means all training programmes, courses, VR simulation sessions, assessments, certifications, and related educational services provided by NEXDENT.
- “Platform” means our website (www.nexdent.co) and any associated mobile applications or online portals.
- “User,” “you,” or “your” means any individual or entity accessing or using our Services.
- “Student” means a User who has enrolled in one or more of our training programmes.
- “Facility” means the physical training location operated by NEXDENT in Business Bay, Dubai.
2. ELIGIBILITY
To use our Services, you must:
- Be at least 18 years of age
- Be a dental professional, dental student, or healthcare professional seeking dental training
- Have the legal capacity to enter into binding contracts under UAE law
- Provide accurate and complete information during registration
We reserve the right to refuse service to anyone at our sole discretion.
3. REGISTRATION AND ACCOUNT
3.1 Account Creation
To access certain Services, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
3.2 Account Accuracy
You agree to provide true, accurate, current, and complete information and to update this information as necessary to maintain its accuracy. Providing false or misleading information may result in immediate termination of your account.
3.3 Professional Credentials
If you register as a licensed dental professional, you represent and warrant that you hold valid and current professional credentials (such as a DHA, MOH, or DOH dental license). We may request verification of your credentials at any time.
4. WAITLIST AND EARLY ACCESS
4.1 Waitlist Registration
Registration on our waitlist does not guarantee enrollment in any course or programme. Waitlist registration is non-binding and does not create any contractual obligation on either party.
4.2 Founding Member Benefits
If you register as a founding member during our pre-launch period, you may be eligible for certain benefits such as discounted pricing. These benefits are subject to:
- Availability of spots (limited to the first 100 registrants)
- Your actual enrollment in a course when our Facility opens
- Compliance with these Terms
Founding member benefits may be modified or withdrawn at our discretion if the member violates these Terms or engages in fraudulent activity.
4.3 No Guarantee of Launch Date
Any launch dates, opening dates, or timelines communicated on our Platform are estimates only. We make no guarantee regarding the exact date our Facility will open or Services will become available.
5. COURSE ENROLLMENT AND FEES
5.1 Enrollment Process
Enrollment in courses requires:
- Submission of a completed enrollment form
- Payment of applicable fees
- Acceptance of course-specific terms (if applicable)
5.2 Pricing
All prices are stated in UAE Dirhams (AED) and are inclusive of VAT unless otherwise stated. We reserve the right to modify our pricing at any time. Price changes will not affect courses for which you have already enrolled and paid.
5.3 Payment Terms
- Payment is due in full at the time of enrollment unless otherwise agreed in writing
- We accept payment via credit card, debit card, bank transfer, or other methods as specified
- A valid payment method must be provided at enrollment
- Failure to pay may result in suspension or cancellation of your enrollment
5.4 Refund Policy
Refunds are subject to the following conditions:
- Full refund: Available if you cancel more than 14 days before the course start date
- 50% refund: Available if you cancel 7-14 days before the course start date
- No refund: Available if you cancel less than 7 days before the course start date or after the course has commenced
Exceptions to this policy may be made in cases of serious illness, family emergency, or other extenuating circumstances, at our sole discretion. Refund requests must be submitted in writing to info@nexdent.co.
5.5 Course Cancellation by NEXDENT
We reserve the right to cancel or reschedule courses due to insufficient enrollment, instructor unavailability, equipment failure, or other circumstances beyond our control. In such cases, you will be offered:
- Full refund of fees paid, or
- Transfer to an alternative course date
6. USE OF SERVICES AND FACILITY
6.1 Permitted Use
You may use our Services solely for lawful educational purposes consistent with these Terms. You agree not to:
- Use our Services for any illegal or unauthorized purpose
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any systems or data
- Share, sell, or transfer your account credentials to others
- Record, photograph, or film training sessions without express written permission
- Reverse engineer or copy our proprietary training methodologies
6.2 Facility Rules
When using our physical Facility, you must:
- Follow all posted rules and staff instructions
- Treat equipment with care and report any damage immediately
- Maintain professional conduct at all times
- Respect the rights and privacy of other students
- Comply with health and safety requirements
6.3 Equipment Use
All VR training equipment and simulation systems remain the property of NEXDENT. You agree to:
- Use equipment only as instructed
- Report any malfunction or damage immediately
- Be financially responsible for any damage caused by misuse or negligence
7. INTELLECTUAL PROPERTY
7.1 Our Intellectual Property
All content on our Platform and within our Services, including but not limited to text, graphics, logos, images, videos, software, training materials, and assessment methodologies, is the property of NEXDENT or its licensors and is protected by UAE and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use our Services for personal educational purposes only. You may not:
- Copy, reproduce, distribute, or create derivative works from our content
- Use our content for commercial purposes
- Remove or alter any copyright notices or proprietary marks
7.2 Student Work and Performance Data
You retain ownership of any original work you create. However, by using our Services, you grant NEXDENT a non-exclusive, worldwide, royalty-free license to use your anonymized performance data for:
- Improving our training programmes and methodologies
- Research and development purposes
- Aggregate statistical analysis
We will not publicly disclose your individual performance data without your express written consent, except as required by regulatory bodies for certification purposes.
8. CERTIFICATION AND CREDENTIALS
8.1 Certificates Issued
Upon successful completion of a course, you will receive a certificate of completion from NEXDENT. This certificate:
- Confirms your attendance and participation in the training programme
- May include performance metrics and competency scores
- Is recognized for Continuing Professional Development (CPD) purposes
- Does not constitute a professional license or regulatory approval
8.2 Regulatory Compliance
While our training programmes are designed to support professional development and may be recognized by regulatory bodies such as the Dubai Health Authority (DHA), Ministry of Health and Prevention (MOHAP), and Department of Health – Abu Dhabi (DOH), NEXDENT certificates do not replace or substitute for:
- Professional licensure examinations
- Regulatory approvals or certifications
- Clinical competency assessments required by employers or regulatory bodies
It remains your responsibility to ensure that any training you complete meets the requirements of your professional regulatory body.
8.3 Certification Revocation
We reserve the right to revoke any certificate if we discover that it was obtained fraudulently or through violation of these Terms.
9. LIMITATION OF LIABILITY
9.1 Educational Purpose
Our Services are provided for educational and training purposes only. While we strive to provide high-quality training that reflects current clinical standards, NEXDENT does not guarantee:
- That our training will result in improved clinical performance
- That completion of our courses will lead to employment, promotion, or professional advancement
- That our training will satisfy all requirements of your employer or regulatory body
9.2 No Medical Advice
Our Services do not constitute medical advice, diagnosis, or treatment. Our training programmes are designed for educational purposes and should not be relied upon for making clinical decisions regarding patient care. You remain solely responsible for your professional practice and patient care decisions.
9.3 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- Our Services will be uninterrupted, timely, secure, or error-free
- The results obtained from using our Services will be accurate or reliable
- Any errors in our Platform or Services will be corrected
9.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, IN NO EVENT SHALL NEXDENT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) our Services
- Any conduct or content of any third party on our Platform
- Any content obtained from our Services
- Unauthorized access to or alteration of your transmissions or content
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless NEXDENT and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of our Services or Facility
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Any misrepresentation made by you
- Your professional practice or patient care decisions
11. PRIVACY AND DATA PROTECTION
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.
12. TERMINATION
12.1 Termination by You
You may terminate your account at any time by contacting us at info@nexdent.co. Termination does not entitle you to a refund of any fees already paid.
12.2 Termination by Us
We may suspend or terminate your account and access to Services immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Providing false or misleading information
- Engaging in fraudulent activity
- Harassment or abusive behavior toward staff or other students
- Failure to pay fees
- Any conduct that we deem harmful to NEXDENT or other users
12.3 Effect of Termination
Upon termination:
- Your right to access and use our Services immediately ceases
- We may delete your account and data (subject to legal retention requirements)
- Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions
13. DISPUTE RESOLUTION AND GOVERNING LAW
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to conflict of law principles.
13.2 Jurisdiction
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
13.3 Arbitration
Prior to initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiations. If negotiations fail, either party may refer the dispute to arbitration under the rules of the Dubai International Arbitration Centre (DIAC).
14. GENERAL PROVISIONS
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NEXDENT regarding the use of our Services and supersede all prior agreements and understandings.
14.2 Amendments
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our Platform with a new “Last Updated” date
- Sending an email notification to registered users
Your continued use of our Services after such notification constitutes acceptance of the modified Terms.
14.3 Severability
If any provision of these Terms is found to be invalid or unenforceable under UAE law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.4 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
14.5 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
14.6 Force Majeure
NEXDENT shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
14.7 Language
These Terms are drafted in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
